Relationship to customer agreements
These Terms govern your use of the Web Site only. Infocion's obligations with respect to the Infocion Aegis™ platform and any other products or services are governed solely by the separate written agreements under which those products and services are provided, including any Master Services Agreement, Data Processing Agreement, and Business Associate Agreement. Nothing on the Web Site and nothing in these Terms modifies, supplements, or supersedes those agreements.
General use provisions
All materials provided on this Web Site, including but not limited to information, documents, products, logos, graphics, sounds, images, software, and services (“Materials”), are provided by Infocion or by third-party authors, developers, and vendors (“Third Party Providers”) and are the copyrighted work of Infocion and/or its Third Party Providers. Except as stated herein, none of the Materials may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior express written permission of Infocion. You may not “mirror” any Materials contained on this Web Site on any other server without Infocion's prior express written permission.
Infocion authorizes you to view and download the Materials on this Web Site for your internal business evaluation purposes, provided that you retain all copyright and other proprietary notices contained in the original Materials on any copies. You may not modify the Materials in any way, or reproduce, publicly display, perform, distribute, or otherwise use them for any public or commercial purpose. If you breach any of these Terms, your authorization to use this Web Site automatically terminates and you must immediately destroy any downloaded or printed Materials.

Other product and company names referenced herein, including those of model providers, cloud platforms, and hardware manufacturers, may be trademarks of their respective owners and are used for identification purposes only.
Term and termination
Infocion may suspend or terminate your access to the Web Site at any time, with or without notice, for any reason, including breach of these Terms. The sections of these Terms that by their nature should survive termination will survive, including the sections on Submissions and Feedback, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
Governing law and dispute resolution
These Terms will be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of laws. You agree that any dispute arising out of or relating to these Terms or the Web Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
International use and export
Infocion makes no representation that Materials at this Web Site are appropriate or available for use outside the United States, and access to them from territories where their contents are illegal is prohibited. You may not use, export, or re-export the Materials in violation of any applicable laws or regulations, including U.S. export control laws and sanctions regulations. If you access this Web Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Infocion regarding your use of the Web Site.
